By accessing or using OneSimple, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

2. Description of Service

OneSimple is a social media management platform that provides:

  • AI-powered content creation and suggestions
  • Post scheduling and publishing across multiple platforms
  • Unified inbox for managing social media interactions
  • Analytics and performance tracking
  • Team collaboration features

3. User Accounts

To use OneSimple, you must:

  • Be at least 18 years old or have parental consent
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to use OneSimple to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful or malicious content
  • Spam or send unsolicited communications
  • Attempt to gain unauthorized access to our systems
  • Interfere with the proper functioning of the service
  • Engage in automated data collection without permission

5. Connected Social Media Accounts

When you connect your social media accounts to OneSimple:

  • You authorize us to access and manage your accounts as needed to provide our services
  • You remain responsible for complying with each platform's terms of service
  • We are not liable for any actions taken by third-party platforms
  • You can disconnect accounts at any time through your settings

6. Third-Party Platform Compliance

When using OneSimple with third-party platforms (Facebook, Instagram, Twitter/X, LinkedIn, Threads), you acknowledge and agree:

  • Platform Terms: You must comply with each platform's terms of service, community guidelines, and policies. Violation of platform terms may result in suspension of your accounts.
  • API Limitations: Our service depends on APIs provided by these platforms. Changes to their APIs, rate limits, or policies may affect OneSimple's functionality.
  • Platform Actions: We are not responsible for any actions taken by platforms against your accounts, including suspensions, bans, or content removal.
  • Data Access: Platforms may change or revoke data access at any time. We will notify you of any material changes affecting our service.

7. API Usage and Rate Limits

Our service uses official APIs from social media platforms:

  • Rate Limits: Platform APIs impose rate limits that may temporarily restrict actions like posting or fetching data.
  • API Changes: Platforms may modify their APIs without notice. We strive to adapt quickly but cannot guarantee uninterrupted service.
  • Fair Use: You agree not to abuse API access or attempt to circumvent rate limits through our service.

8. Service Availability

While we strive for high availability:

  • No Guarantee: We do not guarantee 100% uptime. The service may be unavailable due to maintenance, updates, or technical issues.
  • Scheduled Maintenance: We may perform scheduled maintenance with advance notice when possible.
  • Third-Party Outages: Service availability depends on third-party platforms (social media, hosting, etc.) that are outside our control.
  • Force Majeure: We are not liable for service interruptions due to events beyond our reasonable control, including natural disasters, wars, or infrastructure failures.

9. Billing and Payments

For paid plans:

  • Subscription fees are billed in advance on a monthly or yearly basis
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days notice
  • Failed payments may result in service suspension
  • You are responsible for any applicable taxes

10. Intellectual Property

The OneSimple service, including its original content, features, and functionality, is owned by OneSimple and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your content remains yours. You grant us a limited, non-exclusive license to use your content solely to provide our services. This includes storing, displaying, and transmitting your content to social media platforms as directed by you.

11. User Content and Responsibility

You are solely responsible for:

  • All content you create, schedule, or publish through our service
  • Ensuring you have rights to use any media, text, or other content
  • Compliance with applicable laws regarding your content
  • Any claims or damages arising from your content

We reserve the right to remove content that violates these terms or applicable laws, without prior notice.

12. Indemnification

You agree to indemnify, defend, and hold harmless OneSimple, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) your content.

13. Limitation of Liability

To the maximum extent permitted by law, OneSimple shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the service
  • Any unauthorized access to your data
  • Actions taken by third-party platforms
  • Service interruptions or errors
  • Any content posted through our service

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

14. Termination

We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. Upon termination:

  • Your right to use the service ceases immediately
  • We may delete your data after a grace period (see our Privacy Policy)
  • You remain liable for any outstanding fees

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the service shall be resolved as follows:

  • Informal Resolution: We encourage you to contact us first to resolve disputes informally.
  • Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
  • Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

17. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last updated" date. For significant changes, we will also notify you via email or in-app notification. Your continued use of the service after changes constitutes acceptance of the new Terms.
